Terms and Conditions

Section 1: Passing of Property and Delivery

1.1 Property Transfer: Once the Goods are placed on the vehicle for delivery, they become the Buyer's property and are at the Buyer's risk.

1.2 Delivery Service: Pharmacoo offers delivery of Goods to the Buyer's premises, with the delivery charge applying at the time of delivery. The Buyer has the option to avail this service, which includes insurance coverage.

1.3 Payment Terms: Unless otherwise agreed in writing, all payments are to be made when placing the order.

 

Section 2: Collateral Goods and Purchase Price

2.1 Inclusion of Collateral Goods: The invoice may include Collateral Goods such as Samples, Counter Displays, Tester Stands, Tester Refills, or Store Literature. These Collateral Goods are sold by Pharmacoo along with other Goods listed on the invoice.

2.2 Purchase Price Calculation: The purchase price of Collateral Goods is determined by multiplying the total invoice price by the collateral goods cost price to Pharmacoo and dividing it by the total cost price of all Goods on the invoice.

 

Section 3: Exclusion of Guarantees and Warranties

3.1 Exclusion of Guarantees and Warranties: Unless prohibited by applicable laws, all express and implied guarantees, warranties, and conditions regarding the Goods' materials, description, quality, suitability, fitness, or any other aspects are expressly excluded.

 

Section 4: Force Majeure and Contract Suspension

4.1 Force Majeure: If events beyond Pharmacoo's control hinder, delay, impede, or prevent the fulfillment of its obligations (e.g., act of God, war, strikes, governmental control), Pharmacoo may suspend operations or void the contract at its option.

 

Section 5: Order Cancellation and Return Policy

5.1 Order Cancellation: The Order, whether in whole or in part, cannot be canceled without the consent of Pharmacoo, except as otherwise agreed.

5.2 Return of Goods: The return of Goods is subject to Pharmacoo's Return of Goods Policy. If the return is not due to Damaged Goods in Transit, Faulty and Damaged Goods, Customer Skin Reaction, or Goods not ordered, a Restocking Charge of 30% of the returned Goods' price will apply.

 

Section 6: Buyer's Payment Obligations

6.1 Payment Default: If the Buyer fails to pay any amount due to Pharmacoo, becomes insolvent, or faces circumstances affecting timely payments, Pharmacoo may refuse to supply Goods covered by the Order without notice or liability. This refusal does not waive Pharmacoo's right to recover any outstanding amounts.

 

Section 7: Governing Law and Dispute Resolution

7.1 Governing Law: Any dispute arising from the interpretation or validity of the terms and conditions shall be governed by the laws of the State of New South Wales.

 

Section 8: Other Provisions

8.1 Goods Handling and Premises: The Buyer must not alter, tamper with, or mark the Goods, and acknowledges that Pharmacoo Goods are sold on specified premises as per the Distribution Agreement.

8.2 Claims and Recommended Prices: Claims regarding the Goods must be made within seven (7) days of receipt. The prices listed on the invoice or any publication are recommended, and there is no obligation to comply with the recommendation.

8.3 Handling Charge for Orders Below $1000: Orders with a wholesale value below $1000 (excluding GST) may incur a Handling Charge of $25 to $30 (excluding GST), in addition to the delivery charge shown on the invoice, depending on the location.

8.4 Entire Terms and Conditions: These terms and conditions constitute the entire agreement governing the sale of Goods to the Buyer by Pharmacoo, and no variation or
